Forming the company is the easy part. A straightforward private limited company can be registered online, often within 24 hours once identity checks are complete.
What takes longer is everything around it: opening a UK bank account, registering with HMRC, the UK tax authority, and putting contracts and insurance in place. Overseas businesses rarely get stuck on registration. They get stuck on the setup that lets the company trade.

Setting up in the UK →How long does it take to register a UK company?
Online applications are usually processed within 24 hours, and a same-day service is available for £156. The step that slows overseas companies down comes first: every director and person with significant control must verify their identity with Companies House before the company can be registered.
What do you need before you apply?
You need a company name that is not already taken, at least one director who is an individual, at least one shareholder, a UK registered office address and a registered email address. You also describe what the company does using a standard activity code, and give details of anyone with significant control, such as an overseas parent company.
Why do overseas companies find setup harder?
Three things catch them out. Identity checks: directors without UK documents often need to verify through an Authorised Corporate Service Provider, a firm registered with Companies House to carry out the checks. Banking: UK banks run detailed checks on overseas owners, and this is often the slowest step. Distance: paperwork, signatures and certified documents take longer from another time zone.
What comes after registration?
Register for Corporation Tax within three months of starting to trade, and for VAT when the rules require it. Set up PAYE payroll before you pay your first employee. Once you employ staff, employers' liability insurance is a legal requirement, and you must enrol eligible staff in a workplace pension.
Can you register a UK company yourself?
Yes. Anyone can apply online through Companies House. Most overseas businesses still use a professional, because the registration is only the first of many steps, and mistakes in the structure or tax setup are harder to fix later.
